Terms of Service

01Agreeing to these terms

These Terms of Service ("Terms") are an agreement between you and [Company legal name] ("Agent-Intel.io", "we", "us"). They cover your use of agent-intel.io and the AgentEdge, CoachingEdge and CoachingEdge Enterprise services, including any add-ons (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a brokerage, team, company or other organization, you agree to them on its behalf and confirm you have the authority to do that.

02Your account

• You must be at least 18 and able to enter into a binding contract.
• The Service is for business and professional use.
• Keep your account information accurate and your login details secure. You're responsible for activity under your account.
• Tell us promptly at info@agent-intel.io if you think someone has used your account without permission.

03Plans, billing and cancellation

Subscriptions. Paid plans and add-ons are billed monthly in advance and renew automatically each month until you cancel. Prices are shown on our website or when you sign up. Taxes are added where they apply. Payments are processed by our payment provider, Stripe.

Free trials. If we offer a free trial, its length and what happens when it ends are shown when you sign up.

Cancelling. You can cancel at any time from inside the app. Cancellation takes effect at the end of your current billing period, and you keep access until then. We don't refund partial months, except where the law requires it.

Price changes. If we change the price of your plan, we'll tell you at least 30 days before the new price applies to you. You can cancel before then.

Failed payments. If a payment fails and isn't resolved after we've told you, we may suspend your account until it is.

Roster and Enterprise agreements. CoachingEdge roster packages and CoachingEdge Enterprise may be covered by a separate order form or agreement. If that agreement conflicts with these Terms, the agreement wins.

04AI-generated coaching

The Service uses AI to produce daily briefs, plans, recommendations, session prep and written content. That output is generated from information you, your coach and your organization provide, and it can be wrong or incomplete.

• It isn't professional advice. Nothing in the Service is legal, financial, tax, licensing or medical advice. The wellness and pulse features are not a substitute for professional care.
• Results aren't guaranteed. Income goals, activity targets and conversion rates are estimates. We don't promise any particular income, number of deals or business outcome.
• Review before you use it. You're responsible for checking AI-generated content (listing descriptions, social posts, messages, review drafts and the like) before you publish or send it. That includes making sure it's accurate and follows the advertising, fair housing, licensing and other rules that apply to your business.

05Your content and data

How we collect, use and share personal information is explained in our Privacy Policy.

You own it. The information and material you put into the Service (profile details, goals, activity logs, contacts, videos, check-ins and notes) is "Your Content", and it stays yours.

What you let us do with it. You give us a limited, non-exclusive, worldwide license to host, store, process and display Your Content only as needed to operate, secure and support the Service for you.

What we don't do. We don't sell Your Content. We don't use your check-ins, sessions or notes to train AI models.

Service providers. We use trusted third parties to run the Service, including for hosting, payment processing, AI processing and analytics. They process data on our behalf.

Contacts and recordings. You confirm you have the right to upload the contact details and recordings you add, and that you'll get any consent the law requires from people you record or send intake links to. You're responsible for following the laws that apply to calls, texts, email marketing and recordings.

Getting a copy. Before you cancel, or within 30 days after, you can ask us for an export of Your Content at info@agent-intel.io. After that period we may delete it.

Cookies. Our website uses cookies and similar tools for analytics and ad measurement, as explained in our Privacy Policy. You can decline or turn them off from the cookie notice.

06Coaches and organizations

If you join the Service through a coach, brokerage or other organization, they can see your coaching data, including your plan, activity, check-ins and pulse history, as described on our website.

Coach Notes are private to the coach who wrote them. Messages between a coach and an agent are visible only to those two people. Organization administrators can't see either.

An organization that provisions your account can manage it, including assigning or transferring you between coaches. Your relationship with that organization, and what happens to your account if you leave it, may also be governed by your agreement with them.

07Acceptable use

You agree not to:

• break any law, or use the Service to help anyone else do so;
• upload content you don't have the right to use;
• send spam or unsolicited messages through or with the help of the Service;
• harass or discriminate against anyone, including in violation of fair housing laws;
• access another person's account, or share your account without our permission;
• copy, scrape, reverse engineer or resell the Service, or get around its limits or security;
• interfere with the Service or the systems it runs on; or
• use the Service to build a competing product.

08Our property

The Service, including its software, design, content we create and the names AgentEdge, CoachingEdge and Agent-Intel.io, belongs to us. While your subscription is active, we give you a limited, non-transferable right to use the Service under these Terms.

If you send us feedback or suggestions, we can use them without owing you anything.

09Third-party services

The Service and our website link to or work with services we don't control, such as Microsoft Teams for events, LinkedIn and other social networks, and Stripe for payments. Their own terms apply when you use them, and we aren't responsible for them.

10Changes to the Service

We're always improving the Service, so features may be added, changed or removed. We work to keep it running reliably, but we don't guarantee it will always be available or free of errors, unless a separate agreement with you says otherwise. We may take it offline for maintenance.

11Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or close your account if you break these Terms, don't pay, or use the Service in a way that puts other users or the Service at risk. Where it's reasonable to, we'll tell you first.

Sections that by their nature should continue after your account ends (including sections 5, 8 and 12 to 15) will continue.

12Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don't warrant that AI-generated output will be accurate, complete or suitable for your purposes.

13Limitation of liability

To the extent the law allows, we won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US$100.

Some places don't allow these limits, so they may not all apply to you.

14Indemnity

You'll defend and indemnify us against claims, losses and costs (including reasonable legal fees) that arise from Your Content, from messages you send to your contacts, or from your use of the Service in breach of these Terms or the law.

15Governing law

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in [State], and you and we agree to their jurisdiction.

16Changes to these terms

We may update these Terms from time to time. If a change is material, we'll tell you by email or in the app at least 30 days before it takes effect. The date at the top of this page shows when they last changed. If you keep using the Service after a change takes effect, you accept the updated Terms.
